OTOLINK User Agreement
Effective Date: 1 January 2026
This User Agreement (the “Agreement”) governs access to and use of the Otolink website, applications, platforms, and related services (collectively, the “Services”) provided by Otolink LLC (“Otolink”, “we”, “our”, or “us”).
By accessing or using the Services, you (“User”, “you”) agree to be bound by this Agreement. If you do not agree, you must not use the Services.
1. Eligibility and Acceptance
1.1 You represent that you are at least 18 years old and have the legal capacity to enter into this Agreement.
1.2 Use of the Services constitutes acceptance of this Agreement, the Privacy Policy, and the Cookies Policy, which form an integral part of these terms.

2. Scope of Services
2.1 Otolink provides digital automotive platforms, applications, APIs, and related tools offered on a subscription or authorized-use basis.
2.2 Services may be updated, enhanced, modified, or discontinued at Otolink’s discretion, subject to applicable contractual commitments.

3. User Accounts
3.1 Certain Services require account registration. You agree to provide accurate, current, and complete information.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
3.3 Otolink may suspend or terminate accounts suspected of unauthorized access or misuse.

4. License and Permitted Use
4.1 Otolink grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for internal business purposes only.
4.2 You shall not: - Reverse engineer, decompile, or disassemble the Services - Circumvent security or access controls - Use the Services for unlawful purposes - Share access with unauthorized users

5. User Responsibilities
5.1 You are responsible for ensuring that your use of the Services complies with applicable laws and regulations.
5.2 You shall not upload, transmit, or store content that is unlawful, infringing, malicious, or harmful.

6. Fees and Payments
6.1 Certain Services may be subject to fees as specified in applicable quotes, order forms, or subscription plans.
6.2 Failure to pay applicable fees may result in suspension or termination of access to the Services.

7. Intellectual Property Rights
7.1 All intellectual property rights in the Services remain the exclusive property of Otolink or its licensors.
7.2 No rights are granted except as expressly stated in this Agreement.

8. Data Protection and Privacy
8.1 Otolink processes personal data in accordance with its Privacy Policy and applicable data protection laws, including GDPR and UAE PDPL.
8.2 Where Otolink processes data on behalf of customers, Otolink acts as a data processor.

9. Confidentiality
9.1 Each party shall keep confidential any non-public information disclosed in connection with the Services.
9.2 Confidentiality obligations survive termination of this Agreement.

10. Suspension and Termination
10.1 Otolink may suspend or terminate access to the Services immediately for breach of this Agreement, non-payment, or security risks.
10.2 Upon termination, all rights granted to you under this Agreement shall cease.

11. Disclaimers
11.1 The Services are provided “as is” and “as available” without warranties of any kind, except as required by law.
11.2 Otolink does not warrant uninterrupted or error-free operation.

12. Limitation of Liability
12.1 To the maximum extent permitted by law, Otolink shall not be liable for indirect, incidental, or consequential damages.
12.2 Otolink’s total liability shall not exceed the fees paid by you in the preceding 12 months.

13. Indemnification
You agree to indemnify and hold harmless Otolink from any claims arising from your misuse of the Services or violation of this Agreement.

14. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the United Arab Emirates. Courts of the UAE shall have exclusive jurisdiction, unless otherwise agreed in writing.

15. Amendments
Otolink may update this Agreement from time to time. Continued use of the Services after changes take effect constitutes acceptance.

16. Miscellaneous
16.1 This Agreement constitutes the entire agreement between you and Otolink regarding use of the Services.
16.2 If any provision is held invalid, the remaining provisions shall remain in full force and effect.
16.3 Failure to enforce any right shall not constitute a waiver.
